1. Acceptance of Terms

By accessing or using Notely ("the Service"), available at heynotely.com, you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

Notely is a web-based application that captures spoken audio from meetings, interviews, and conversations, transcribes it in real-time, and generates AI-powered summaries including action items and tone analysis. Audio is processed transiently and is never stored.

3. Accounts

You must create an account to use Notely. You are responsible for maintaining the security of your account credentials. You must provide accurate information when creating your account. You must be at least 18 years old to use the Service.

4. Subscription Plans and Billing

Notely offers a free tier and paid subscription plans. Paid plans are billed monthly through Stripe. By subscribing to a paid plan, you authorize us to charge your payment method on a recurring monthly basis.

You may cancel your subscription at any time through your account settings. Upon cancellation, you retain access to your paid plan features through the end of your current billing period. No prorated refunds are provided for partial months.

We reserve the right to change pricing with 30 days notice. Price changes will not affect your current billing period.

5. Free Tier Limitations

The free tier is limited to 5 summaries per calendar month with a 5-day retention period. We reserve the right to modify free tier limits with reasonable notice.

6. Acceptable Use

You agree not to:

  • Use the Service to record conversations without the knowledge and consent of all participants, where required by applicable law
  • Use the Service for any illegal purpose
  • Attempt to reverse engineer, decompile, or extract source code from the Service
  • Use automated means to access the Service beyond normal browser usage
  • Resell or redistribute the Service without authorization
  • Interfere with or disrupt the Service or servers

7. Recording Consent

You are solely responsible for obtaining appropriate consent from all participants before recording any conversation. Laws regarding recording consent vary by jurisdiction. Some states and countries require all-party consent. Notely does not provide legal advice regarding recording consent and is not liable for your failure to obtain proper consent.

8. Your Content

You retain ownership of all content generated through the Service, including summaries and transcripts. By using the Service, you grant us a limited license to process your audio input solely for the purpose of generating summaries and transcripts. This license terminates when the audio stream ends.

We do not claim ownership of your summaries or transcripts. We do not use your content to train AI models.

9. Privacy and Audio Data

Our handling of your data is governed by our Privacy Policy. Audio is never stored at rest. Only text outputs (summaries and transcripts) are persisted, subject to plan-based retention periods.

10. Data Retention and Deletion

Summaries and transcripts are automatically deleted after the retention period associated with your plan (5, 14, or 30 days). You may delete content manually at any time. Account deletion removes all associated data permanently.

11. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted service. The Service is provided "as is" without warranties of any kind. We are not liable for any loss of data, missed recordings, or inaccurate transcriptions or summaries.

12. AI-Generated Content

Summaries, action items, and tone analysis are generated by artificial intelligence and may contain errors, omissions, or inaccuracies. You are responsible for reviewing AI-generated content before relying on it for any purpose. Notely is not liable for decisions made based on AI-generated summaries.

13. Limitation of Liability

To the maximum extent permitted by law, Notely and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities arising from your use of the Service.

Our total liability for any claim arising from the Service shall not exceed the amount you paid to us in the 12 months preceding the claim.

14. Modifications to Terms

We may modify these terms at any time. Material changes will be communicated via email or notice within the Service at least 30 days before taking effect. Continued use of the Service after changes take effect constitutes acceptance of the updated terms.

15. Termination

We may suspend or terminate your account if you violate these terms. You may terminate your account at any time through your account settings. Upon termination, your data will be deleted in accordance with our retention policies.

16. Governing Law

These terms are governed by the laws of the State of Alabama, United States, without regard to conflict of law principles.
